Introduction

These Terms of Service ("Terms") govern your use of the website located atglobalhubforwarders.com("Website") and the freight forwarding, customs brokerage, and related services ("Services") offered by Global Hub Forwarders ("Company", "we", "us", or "our").

By accessing our Website or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access the Website or use our Services.

Applicability of Terms

These Terms apply to all users of the Website and clients of our Services, including without limitation users who are browsers, customers, merchants, and/or contributors of content. These Terms shall be governed by and construed in accordance with the laws of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

Description of Services

Global Hub Forwarders provides freight forwarding, customs brokerage, warehousing, and related logistics services within Canada and internationally. Our Services include, but are not limited to:

  • Air freight services
  • Ocean freight services
  • Customs brokerage services
  • First and last mile delivery services
  • Warehouse management and distribution
  • Cargo insurance arrangement
  • Consulting services related to international trade

Service Agreement

All Services provided by Global Hub Forwarders are subject to a separate Service Agreement, which will be provided to you before commencement of Services. In the event of any conflict between these Terms and a Service Agreement, the terms of the Service Agreement shall prevail.

Any quotation provided by us is valid for 30 days from issuance, unless otherwise specified, and is subject to carrier space and equipment availability. All rates and charges are subject to change without notice, unless guaranteed in writing.

Client Responsibilities

As a client of our Services, you agree to:

  • Provide accurate and complete information about the goods to be shipped, including dimensions, weight, value, and nature of the goods.
  • Ensure that all goods are properly packed, labeled, and marked in accordance with applicable regulations.
  • Provide all necessary documentation, including commercial invoices, packing lists, certificates of origin, and any other documents required for international shipping and customs clearance.
  • Comply with all applicable laws, regulations, and requirements related to the export, import, and transit of goods.
  • Pay all duties, taxes, levies, and other charges imposed by governmental authorities.
  • Reimburse us for any expenses incurred on your behalf in connection with the Services.
  • Indemnify us against any loss, damage, expense, or liability arising from your breach of these Terms or a Service Agreement.

Payment Terms

Payment terms are as specified in the Service Agreement or invoice provided to you. Unless otherwise stated, invoices are due upon receipt. We accept payment by electronic funds transfer, credit card, and cheque (for established clients).

Past due amounts are subject to a service charge of 1.5% per month (18% per annum), or the maximum rate permitted by law, whichever is less. You are responsible for all collection costs, including legal fees, if we must pursue collection of any outstanding balance.

Limitation of Liability

Our liability is limited as follows:

  • For transportation services, our liability is limited to the lesser of (1) the value of the goods declared for transport, (2) $2.00 CAD per kilogram computed on the total gross weight of the shipment, or (3) the limitations set forth in any applicable international convention.
  • For customs brokerage services, our liability is limited to $100 CAD per transaction.
  • For warehousing services, our liability is limited to $50 CAD per shipment.
  • For all other services, our liability is limited to the amount of our service fees for the specific transaction giving rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

Insurance

Our liability is limited as stated above. We strongly recommend that you obtain appropriate cargo insurance to protect your interests. We can arrange cargo insurance coverage on your behalf upon written request and for an additional charge.

Force Majeure

We shall not be liable for any failure to perform our obligations where such failure is a result of acts of nature (including fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labour dispute, strike, lockout, or interruption or failure of electricity, telecommunications, or Internet service.

Intellectual Property

The Website and its original content, features, and functionality are and will remain the exclusive property of Global Hub Forwarders and its licensors. The Website is protected by copyright, trademark, and other laws of both Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Global Hub Forwarders.

Website Use

You agree not to use the Website:

  • In any way that violates any applicable federal, provincial, local, or international law or regulation.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website or expose them to liability.

Termination

We may terminate or suspend your access to our Website and Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Dispute Resolution

Any dispute arising out of or in connection with these Terms or our Services shall be finally settled under the Rules of Arbitration of the ADR Institute of Canada by one or more arbitrators appointed in accordance with the said Rules. The place of arbitration shall be Toronto, Ontario, Canada. The language of the arbitration shall be English.
